Archer Terms of Use
Version 2026-10-06 · in force from 6 October 2026
These terms are a contract between the provider of Archer and you. They apply when your organisation subscribes to Archer, or when you sign in to Archer and tick that you agree.
Archer is provided by Džiugas Šablauskas (individual activity certificate No. 1113939; Vilnius, Lithuania; email privacy@elvenheart.com), "Archer", "we" or "us" below.
1. Definitions
- "Service": the Archer platform at app.elvenheart.com with all its parts and features.
- "Customer": the organisation or person that subscribes to Archer.
- "User": every person the Customer lets use the Service: an employee, contractor, academy participant or anyone else.
- "Inputs": everything the Customer or its Users upload or type into Archer: texts, documents, pictures, brand materials, conversations.
- "Outputs": what Archer creates or returns in response to Inputs: strategies, texts, analyses, ideas.
- "Confidential Information": non-public information one party learns from the other while the Service is used.
2. How the contract is made
The contract is made when the Customer subscribes to the Service (including by paying an invoice for it), or when a User ticks "I agree" while signing in to Archer. Archer records who accepted which version of these terms, and when.
A person accepting these terms for an organisation confirms that they may bind it.
Using the Service also means you agree to these terms.
3. Accounts and access
Archer works by invitation only. Accounts are personal, and login details may not be shared.
The Customer decides which Users get access. Before giving access, the Customer makes sure the User accepts these terms and, where the Customer or Archer requires it, signs a confidentiality agreement.
The Customer is responsible for everything done through its accounts, including by its employees, contractors, academy participants and anyone else it authorises. Their acts and omissions count as the Customer's own.
Possible unauthorised access to an account must be reported to us without delay, and within 24 hours at the latest.
4. What you must not do
Neither the Customer nor its Users may do the following, or let anyone else do it:
- copy, modify, decompile or otherwise try to reconstruct Archer's code or its other components, except where the law does not allow this restriction;
- try to extract Archer's AI instructions, prompts, settings or knowledge base, including by asking Archer's AI itself to reveal them or by trying to get around its limits;
- collect Archer content with bots, scrapers or other automated tools, or bulk-download or export content, except through features Archer provides for that;
- use the Service, Inputs or Outputs to train, evaluate or build an AI model, dataset or service that competes with Archer, or to replicate Archer or any part of it;
- resell the Service, make it available to third parties, or present it as their own;
- get around access, usage or security limits;
- upload content that breaks the law or other people's rights, that exploits or sexualises minors, or that is meant to deceive;
- upload other people's personal data without a lawful basis;
- use Outputs for misleading advertising, invented testimonials or manufactured urgency.
5. Who owns Archer
Archer and all its parts (software, code, interface, design, AI instructions and prompts, methodology, structures, templates, knowledge base, documents, names and improvements) belong to the provider of Archer. This protection applies whether or not copyright covers a given part, including parts made with the help of AI.
The Customer and its Users receive only a limited, non-exclusive, non-transferable right to use the Service during the subscription, under these terms. No other rights are transferred.
We may use your suggestions, ideas and comments about Archer free of charge and without restriction. Anything the Customer or its Users create for Archer itself (for example, to improve it) becomes part of Archer and belongs to its provider, to the extent the law allows.
6. Inputs and Outputs
Inputs remain the Customer's. The Customer allows us to store, process and pass them to our service providers as far as needed to provide the Service.
The Customer may use Outputs made for its brand in its own business. Archer's methodology, structures and templates visible in Outputs remain our Confidential Information.
AI outputs can be wrong. We do not promise that Outputs are original, protected by copyright, or free of other people's rights. The Customer reviews every Output before using it, especially claims about facts, prices, health and law.
We do not use Inputs to train AI models of our own. How our AI providers handle them is explained in the Privacy Policy.
7. Confidentiality
Each party protects the other's Confidential Information, uses it only under these terms, and discloses it only to people who need it for their work and are bound to protect it.
How Archer works (its AI instructions, prompts, methodology, structures, templates, knowledge base, code and unreleased features) is our trade secret.
This duty lasts for the contract and 5 years after it ends, and for trade secrets as long as they remain secret.
It does not prevent disclosure required by law, a court or an authority, or reporting wrongdoing under the Law on the Protection of Whistleblowers.
8. Personal data
How we handle personal data is explained in the Archer Privacy Policy (elvenheart.com/privacy).
When Archer processes personal data on the Customer's behalf (for example, about the Customer's clients, staff or academy participants), the Customer is the controller and we are the processor. In that case the annex "Data processing terms" applies.
When we process data for our own purposes (accounts, security, records of accepted terms), we are an independent controller.
The Customer makes sure it has a lawful basis for putting personal data into Archer and has told the people concerned.
9. Payment
The subscription price and period are set out in the offer or invoice. Payment is due by invoice within the term stated on it.
If payment is late, we may suspend access after a warning until the invoice is paid.
10. End of the contract
The Customer may end the subscription at any time with 30 days' notice. Fees paid for a period already started are not refunded, unless the law says otherwise.
We may end the contract with 30 days' notice, or at once if these terms are seriously breached or security is at risk.
When the contract ends, access ends. Within 30 days the Customer may ask for a copy of its Inputs and Outputs. After that we delete them, except what the law requires us to keep.
The provisions on Archer's rights, confidentiality, liability and disputes survive the end of the contract.
11. Liability
The Service is provided as it is and as available. We work to keep it reliable, but we do not promise it will run without interruptions or errors.
We are not liable for indirect losses, such as lost income or lost opportunities. Our total liability does not exceed what the Customer paid for the Service in the last 12 months.
These limits do not apply to harm caused intentionally or through gross negligence, or where the law does not allow liability to be limited. The Customer's liability for breaching sections 4, 5 and 7 is not limited.
12. Changes and transfer
We may change these terms. We announce material changes by email or in Archer at least 14 days in advance. A new version applies once it is accepted; if you do not agree with it, you may end the subscription.
The provider of Archer may transfer this contract to whoever Archer is transferred to (for example, a company the provider sets up). We will tell you, and your rights under these terms stay the same.
13. Governing law and disputes
These terms are governed by the law of the Republic of Lithuania. We first try to settle disputes by negotiation, and if that fails, in a court of the Republic of Lithuania with jurisdiction under the law.
If you are a consumer, the mandatory consumer protection rules also apply to you, and you may bring a dispute out of court to the State Consumer Rights Protection Authority (www.vvtat.lt).
If the Lithuanian and English versions of these terms differ, the Lithuanian version applies.
14. Contact
Send questions about these terms to privacy@elvenheart.com.
Annex. Data processing terms
This annex applies when Archer processes personal data on the Customer's behalf, and meets the requirements of Article 28 of the General Data Protection Regulation (GDPR).
- Subject and duration. Archer processes personal data only to provide the Service, for the length of the contract and until the data is deleted under section 10.
- Nature and purpose. Storing data, analysing it with AI tools, creating Outputs, managing sign-in, reading data sources the Customer connects (reading only; nothing in them is changed), and publishing posts to social media accounts the Customer connects (for example Instagram), only when a User schedules them.
- Types of data. Names and contact details, documents and conversations the Customer uploads, records from systems the Customer connects (for example a CRM or an online shop), and other information the Customer provides. Archer is not meant for special categories of data (for example about health); the Customer does not upload them unless clearly agreed with us.
- Data subjects. The Customer's Users, the Customer's clients and prospective clients, academy participants and their family members, and other people the Customer provides data about.
Archer undertakes to:
- process data only on the Customer's documented instructions (these terms and the Customer's actions in the Service count as such), unless the law requires otherwise;
- make sure the people who process the data are bound to confidentiality;
- apply appropriate security measures: invitation-only access with personal accounts, one-time sign-in codes, role-based access limits, activity records and an encrypted connection;
- use other processors only under this general authorisation: their list is published in the Privacy Policy, planned changes are announced in advance so the Customer can object, and the same data protection duties are passed on to them;
- help the Customer answer people's requests about their data and meet its duties under Articles 32 to 36 of the GDPR;
- tell the Customer about a personal data breach without undue delay, and within 48 hours of discovering it at the latest;
- delete or return the data when the contract ends, under section 10;
- give the Customer the information needed to show these duties are met, and allow reasonable checks at a time agreed in advance.
When data is transferred outside the European Economic Area, the safeguards of Chapter V of the GDPR apply, for example the standard contractual clauses approved by the European Commission or the EU-US Data Privacy Framework.

Archer teikia Džiugas Šablauskas (individualios veiklos vykdymo pažyma Nr. 1113939; Vilnius, Lietuva; el. paštas privacy@elvenheart.com), toliau – „Archer“ arba „mes“.

4. Ko daryti negalima
Nei Klientas, nei Naudotojai negali patys to daryti ir neleidžia to daryti kitiems:
- kopijuoti, keisti, dekompiliuoti ar kitaip bandyti atkurti Archer programinį kodą ar kitas jo sudedamąsias dalis, išskyrus atvejus, kai įstatymas tokio apribojimo neleidžia;
- bandyti išgauti Archer DI instrukcijas, užklausas, nustatymus ar žinių bazę, įskaitant prašymus pačiam Archer DI juos atskleisti ir bandymus apeiti jo apribojimus;
- rinkti Archer turinį robotais, duomenų rinkimo programomis ar kitomis automatinėmis priemonėmis arba masiškai atsisiųsti ar eksportuoti turinį, išskyrus tam skirtas Archer funkcijas;
- naudoti Paslaugą, Įvestis ar Rezultatus DI modeliui, duomenų rinkiniui ar paslaugai, konkuruojančiai su Archer, mokyti, vertinti ar kurti, taip pat Archer ar jo daliai atkartoti;
- perparduoti Paslaugą, suteikti ją tretiesiems asmenims ar pateikti ją kaip savo;
- apeiti prieigos, naudojimo ar saugumo ribojimus;
- įkelti turinį, kuris pažeidžia įstatymus ar kitų asmenų teises, išnaudoja ar seksualizuoja nepilnamečius arba kuriuo siekiama apgauti;
- įkelti kitų asmenų asmens duomenų, jei tam nėra teisėto pagrindo;
- naudoti Rezultatus klaidinančiai reklamai, išgalvotiems atsiliepimams ar dirbtinai keliamam skubumui.
5. Kam priklauso Archer
Priedas.
- tvarkyti duomenis tik pagal dokumentuotus Kliento nurodymus (tokiais laikomos šios sąlygos ir Kliento veiksmai Paslaugoje), nebent įstatymas reikalauja kitaip;
- užtikrinti, kad duomenis tvarkantys asmenys būtų įsipareigoję saugoti konfidencialumą;
- taikyti tinkamas saugumo priemones: prieiga tik su kvietimu ir asmeninėmis paskyromis, vienkartiniai prisijungimo kodai, prieigos ribojimas pagal vaidmenis, veiksmų įrašai, šifruotas ryšys;
- pasitelkti kitus duomenų tvarkytojus tik pagal šį bendrą leidimą: jų sąrašas skelbiamas privatumo politikoje, apie planuojamus pakeitimus pranešame iš anksto, kad Klientas galėtų prieštarauti, ir jiems taikome tokias pačias duomenų apsaugos pareigas;
- padėti Klientui atsakyti į žmonių prašymus dėl jų duomenų ir vykdyti BDAR 32–36 straipsnių pareigas;
- apie asmens duomenų saugumo pažeidimą pranešti Klientui nepagrįstai nedelsiant, ne vėliau kaip per 48 valandas nuo jo nustatymo;
- sutarčiai pasibaigus ištrinti arba grąžinti duomenis pagal 10 skyrių;
